1. Acceptance of these terms
These Terms of Use (the "Terms") govern your access to and use of the website located at fidempraxis.com and its subpages (the "Site"), operated by Fidem Praxis ("Fidem Praxis," "we," "us"), a professional practice founded by Wasim M. Amin, J.D., M.B.A., an attorney licensed in the States of New York and Massachusetts. By accessing or using the Site, you agree to be bound by these Terms and by our Privacy Policy and Disclaimer, which are incorporated by reference. If you do not agree, do not use the Site.
2. Informational purpose; no professional relationship
The Site describes the practice, its methodology (including the Trifecta Operating Model™), its service lines, and related commentary. All content is provided for general informational purposes only. Nothing on the Site constitutes, or should be relied upon as, legal, financial, tax, investment, or other professional advice, and nothing on the Site creates an attorney–client, fiduciary, consulting, or advisory relationship between you and Fidem Praxis or Mr. Amin. Such a relationship arises only upon mutual execution of a written engagement agreement following a conflicts check.
Do not send us confidential or privileged information through the Site or by email before an engagement agreement is in place. Unsolicited information is not protected by attorney–client privilege and will not preclude us from representing other parties.
3. Eligibility and permitted use
The Site is intended for professional audiences and for users who are at least 18 years old. You agree to use the Site only for lawful purposes and not to: (a) copy, scrape, or harvest content or data at scale, including for training machine-learning systems, without our written consent; (b) interfere with the Site's operation or security; (c) misrepresent your affiliation with any person or entity; or (d) use the Site to transmit unlawful, infringing, or harmful material.
4. Intellectual property
The Site and its contents — including text, the Fidem Praxis name and keystone-seam mark, the Trifecta Operating Model™ and its associated diagrams, graphics, page designs, and code — are the property of Fidem Praxis or its licensors and are protected by copyright, trademark, and other intellectual-property laws. You may view, download, and print pages for your personal, non-commercial reference, provided you retain all proprietary notices. Any other reproduction, distribution, public display, or creation of derivative works requires our prior written permission. Nothing on the Site grants any license under any trademark or patent.
5. The Journal and subscriptions
Subscribing to our newsletter (the "Journal") is governed additionally by the terms and privacy policy of our newsletter platform, Substack. You may unsubscribe at any time using the link included in each email. Journal content is subject to the same informational-purpose limitations in Section 2 and in the Disclaimer.
6. Third-party sites and services
The Site links to third-party sites and loads resources from third-party services (including LinkedIn, Substack, wasimamin.us, Google Fonts, and content-delivery networks). We do not control and are not responsible for the content, policies, or practices of third parties. Links are provided for convenience and do not imply endorsement.
7. No warranties
The Site is provided "as is" and "as available." To the fullest extent permitted by law, Fidem Praxis disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted availability. Content may become outdated — regulations discussed on this Site (including the EU AI Act, DORA, GDPR, SEC cybersecurity rules, and data-localization regimes) change frequently — and we undertake no obligation to update it.
8. Limitation of liability
To the fullest extent permitted by law, Fidem Praxis, its principal, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of (or inability to use) the Site or any content on it, even if advised of the possibility of such damages. Where liability cannot be excluded, it is limited to the greatest extent permitted by applicable law. Nothing in these Terms limits liability that cannot lawfully be limited.
9. Indemnification
You agree to indemnify and hold harmless Fidem Praxis and its principal from claims, damages, and expenses (including reasonable attorneys' fees) arising out of your violation of these Terms or your misuse of the Site.
10. Governing law and venue
These Terms are governed by the laws of the State of New York, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Site shall be brought exclusively in the state or federal courts located in New York County, New York, and you consent to their jurisdiction. If any provision of these Terms is held unenforceable, the remainder continues in effect.
11. Changes to these terms
We may revise these Terms from time to time by posting an updated version with a new "Last updated" date. Your continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
